1. Acceptance of these terms
These Terms of Service govern your access to and use of StartupChad, including the public site, application workspace, uploads, collaboration features, and related services.
By accessing or using StartupChad, you agree to be bound by these terms. If you use StartupChad on behalf of a company, startup, or other organization, you represent that you have authority to bind that organization to these terms.
2. Eligibility and accounts
You must be at least 18 years old and capable of forming a binding contract to use StartupChad. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
Account information must be accurate and kept reasonably current. StartupChad may suspend or restrict access if account information is false, misleading, or used in a manner that creates security, legal, or operational risk.
3. The service
StartupChad provides a founder-oriented workspace for building startup profiles, drafting application answers, importing supporting material, collaborating with invited users, and preparing copy-ready export materials.
StartupChad may modify, improve, or discontinue parts of the service from time to time. Some features may be experimental, limited, or changed without prior notice where needed to improve security, stability, or product quality.
4. Your content and ownership
You retain ownership of the text, files, startup information, and other materials you upload or submit to StartupChad. You are responsible for ensuring you have the rights and permissions needed to provide that content.
To operate the service, you grant StartupChad a limited, non-exclusive, revocable license to host, store, process, transmit, display, and otherwise use your content solely as needed to provide, secure, maintain, and improve the service for you and your authorized collaborators.
6. AI-generated output and founder responsibility
StartupChad may provide drafting, rewrite, critique, extraction, or analysis features that generate suggestions or identify possible improvements. Those outputs are assistive only.
You are responsible for reviewing all content before relying on it, sharing it, exporting it, or submitting it to a third-party accelerator or application program. StartupChad does not guarantee that AI-generated or AI-assisted output is accurate, complete, lawful, tailored to your circumstances, or acceptable to any program.
7. Acceptable use
You agree not to use StartupChad to:
- Violate law, regulation, or the rights of others.
- Upload content you do not have the right to use or disclose.
- Attempt unauthorized access to accounts, systems, or data.
- Interfere with the service, reverse engineer protected systems, or bypass security controls.
- Use the service to send malware, spam, deceptive content, or fraudulent submissions.
- Misrepresent AI-assisted or collaborative output as verified fact without appropriate review.
8. Third-party services and external programs
StartupChad may depend on third-party providers for hosting, storage, authentication, analytics, communications, and other operational support. Your use of external services or third-party application platforms remains subject to those third parties' own terms and policies.
StartupChad is not responsible for the availability, practices, policies, or decisions of accelerators, incubators, reviewers, application portals, or other third-party services.
9. No guarantee of admission, funding, or outcomes
StartupChad provides tooling to help founders organize material, improve drafts, and move faster. StartupChad does not promise admission to any accelerator, incubator, grant program, investor meeting, or other opportunity.
Any examples, recommendations, or suggested edits are informational only and do not guarantee acceptance, fundraising success, or business performance.
10. Suspension and termination
StartupChad may suspend or terminate access to the service if these terms are violated, if continued access creates security or legal risk, or if necessary to protect the service, its users, or third parties.
You may stop using StartupChad at any time. Sections that by their nature should survive termination, including ownership, disclaimers, limitations of liability, indemnity, and dispute-related sections, will survive termination.
11. Warranty disclaimer
StartupChad is provided on an "as is" and "as available" basis to the maximum extent permitted by law. StartupChad disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
12. Limitation of liability
To the fullest extent permitted by law, StartupChad and its operators, affiliates, service providers, and personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity, or confidential information arising out of or related to your use of the service.
To the fullest extent permitted by law, the total liability of StartupChad for any claim arising out of or relating to the service or these terms will not exceed the greater of one hundred U.S. dollars (US $100) or the amount you paid StartupChad, if any, during the twelve months before the event giving rise to the claim.
13. Indemnity
You agree to defend, indemnify, and hold harmless StartupChad and its operators, affiliates, service providers, and personnel from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your content, your misuse of the service, your violation of these terms, or your violation of the rights of another person or entity.
14. Governing law
These terms are governed by the laws of California, USA, without regard to its conflict-of-laws rules, except to the extent that applicable consumer protection law requires otherwise.
Any dispute arising out of or relating to these terms or the service will be resolved in the state or federal courts located in California, and you consent to personal jurisdiction and venue in those courts, subject to any non-waivable rights you may have under applicable law.
15. Changes to these terms
StartupChad may update these Terms of Service from time to time. When changes are made, StartupChad will update the last updated date and may provide additional notice when required or appropriate.
Your continued use of the service after an updated version becomes effective means you accept the revised terms.
